Terms of Service服务条款

These Terms of Service ("Terms") govern your access to and use of the Yuanyun Technology (圆蕴科技) platform, websites, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. Service description

The Service is a software-as-a-service platform that helps manufacturers market to and communicate with overseas B2B customers. It includes AI-assisted content generation, a product RFQ / quote-request module, a product image studio, and a unified messaging inbox that connects a business's own Facebook Page (Messenger), Instagram professional account, and WhatsApp so the business can receive and reply to customer messages in one place. We may add, modify, or discontinue features over time.

2. Accounts & eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. The Service is intended for business use by organizations and individuals who are at least the age of majority in their jurisdiction. You are responsible for the acts and omissions of your team members and other authorized users.

3. Acceptable use

You agree not to, and not to permit anyone to:

• Use the Service to send spam, unsolicited messages, or any unlawful, deceptive, harassing, or harmful content;
• Violate the privacy or rights of any person, or process data without a lawful basis or required consent;
• Infringe intellectual property or other rights of third parties;
• Attempt to gain unauthorized access to, interfere with, or disrupt the Service or its infrastructure;
• Reverse engineer, resell, or misuse the Service except as expressly permitted;
• Use the Service to develop a competing product or to scrape or harvest data in violation of applicable terms.

4. Messaging & third-party platform compliance

You represent that you have the necessary rights and consents to message the customers you contact through the Service, and that you will honor opt-out and messaging-window requirements. You authorize us to access and act on your connected accounts solely to provide the Service on your behalf. We may suspend connections or features as required to comply with platform rules.

Similarly, when you connect a TikTok account, you must comply with TikTok's Terms of Service, Community Guidelines and Branded Content Policy; you remain responsible for the content you publish and for the accuracy of any commercial-content or AI-generated-content disclosures you make when publishing.

5. Intellectual property

The Service, including its software, design, and content (excluding your data and your content), is owned by Yuanyun Technology and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights to the data and content you provide ("Customer Data"), and you grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service in accordance with our Privacy Policy.

6. AI-generated content

The Service can generate text, images, and reply suggestions using AI. AI output may be inaccurate or incomplete. You are responsible for reviewing and approving any AI-generated content before you use or send it, and for ensuring it complies with applicable laws and platform policies. You are responsible for all messages sent from your connected accounts, whether drafted by you or with AI assistance.

7. Fees

If the Service or any feature is offered for a fee, you agree to pay the applicable fees as described at the time of purchase. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing on a prospective basis with reasonable notice.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THIRD-PARTY PLATFORMS WILL REMAIN AVAILABLE OR COMPATIBLE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUANYUN TECHNOLOGY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Term & termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required to comply with law or platform rules, or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive. Data handling after termination is described in our Privacy Policy and Data Deletion instructions.

11. Governing law

These Terms are governed by the laws of the People's Republic of China (中华人民共和国 · 广东省佛山市), without regard to its conflict-of-laws rules. The courts located in the People's Republic of China (中华人民共和国 · 广东省佛山市) will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law provides otherwise.
